1. Services Provided

Zotenode provides IT solutions including but not limited to:

• Software development and customization
• Web and mobile application development
• IT consulting services
• Cloud & Infrastructure services
• Network infrastructure services
• Security Engineering
• Technical support and maintenance

2. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with Zotenodes reasonable requests
• Make timely payments as agreed
• Comply with all applicable laws and regulations

3. Fees and Payment

All services are subject to the following payment terms:

• Fees will be as quoted in the proposal or service agreement
• Payment terms are net 3 days from invoice date unless otherwise agreed
• Client is responsible for all taxes, duties, and other governmental charges

4. Intellectual Property

Unless otherwise agreed in writing:

• Zotenode retains ownership of all pre-existing intellectual property
• Upon full payment, the Client receives a license to use deliverables as specified in the agreement
• Zotenode may use completed projects for promotional purposes unless otherwise specified

5. Confidentiality

Both parties agree to:

• Keep confidential information secure
• Not disclose confidential information to third parties without consent
• Use confidential information only for the purposes of the engagement

6. Warranties and Limitations

Zotenode warrants that services will be performed with reasonable skill and care. However:

• Zotenode does not guarantee error-free operation of software or systems
• Zotenode is not responsible for third-party products or services
• Total liability is limited to the fees paid for the specific service in question

7. Termination

Either party may terminate an engagement:

• Within 7 days written notice for convenience
• Immediately for material breach by the other party
• Client remains responsible for fees for work completed, service rendered and expenses incurred

8. Data Protection

Zotenode will comply with applicable data protection laws and will process Client data only as necessary to provide services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State.

10. Changes to Terms

Zotenode reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of the modified Terms.
